About Andrew D. Randol and his Law Practice

Nearly all my clients are business owners and entrepreneurs and I am repeatedly inspired by their success stories. Many had numerous obstacles to overcome to get to where they are in life. This not only motivates me to vigorously represent my clients’ interests, but I often establish strong personal relationships with them as well.

My law practice focuses around business and litigation. I often help both new and experienced entrepreneurs start and advance their businesses. This includes forming limited liability companies and corporations, drafting operating agreements, corporate regulations, buy-sell agreements, stock option plans, and other contracts as they are needed in a business.

I have also advised and represented clients on purchasing and selling businesses. This includes asset purchases and stock purchases. Buying or selling a business can be a complex transaction. I have represented clients when purchasing both small businesses, such as a convenient store or gas station, as well as larger business deals worth in the millions of dollars.

My firm also focuses strongly on business litigation. Business litigation can include disputes over contracts, partnerships and other jointly owned businesses, real estate, construction, trademarks, and virtually any other disputes between businesses. Relatedly, I also have experience defending businesses against employment lawsuits, including successfully defending against sexual harassment and wrongful termination claims as well as defending wage and hour lawsuits in federal court. I have also represented clients being targeted by the Department of Labor, Wage and Hour Division, for alleged minimum wage and overtime violations. I am licensed to represent clients in all Ohio and Georgia courts, as well as the United States Court for the Southern and Northern Districts of Ohio.

Through my years of practice, I have represented companies in a broad array of industries, including technology firms, construction companies, marketing and advertising firms, auto repair shops, real estate companies, daycare centers, home health care agencies, retailers, restaurants, manufacturers, online retailers, hotels, and even other law firms. Representative Cases

  • Overturned trial court on abuse of discretion for its refusal to grant the remedy of specific performance for the breach of a real estate contract. Victoria IP, LLC v. Sanders, 10th Dist. Franklin No. 18AP-82, 2018 WL 8583019, at *1 (Ohio Ct. App. Sept. 27, 2018); appeal to Ohio Supreme Court denied, See 154 Ohio St.3d 1500.

  • Dismissed interlocutory appeal after successfully arguing that the trial court’s order was not final and appealable. Cheng v. Haney, 5th Dist. Delaware No. 16 CAE 06 0025, 2017-Ohio-199.

  • Achieved full dismissal of lawsuit against out of state clients based on lack of personal jurisdiction under the due process clause of the United States Constitution and Ohio’s long-arm statute. Durfee v. Helbing Law LLC, et al., Delaware C.P. No. 18 CVH 090507 (Mar. 17, 2020).

  • Successfully overturned cognovit note judgment against client when able to produce evidence demonstrating a material dispute over the amount and validity of the note. Jones v. Howard, Franklin C.P. No. 19-CV-003521.

  • Successfully dismissed petition for cancellation of a trademark before the Trademark Trial and Appeal Board. Ferguson v. Super Chef’s Breakfast and More LLC, Cancellation No. 92072311 (Dec. 13, 2019).


Representative Transactions

  • Represented Columbus limousine company through asset sale worth over one million dollars, which included the transfer of numerous vehicles, website, goodwill, and real property and included seller side financing.

  • Guided multimillion-dollar advertising and marketing company through corporate restructuring.

  • Represented graphic design company through $750,000 asset sale, which included goodwill, website, manufacturing and design equipment, and other materials.

  • Routinely advises clients on compliance with state and federal employment laws, including advising HR department of large central Ohio technology firm.
